Terms of Use

These Terms of Use ("Terms") govern access to and use of CrystalSpec, available at https://crystalspec.com. CrystalSpec is provided by ORGANIZING GROUP SRL, a Romanian limited liability company, registered with the Romanian Trade Registry under no. J22/1300/2015, having CUI/CIF 34809309 and VAT ID RO34809309, with registered office at Str. Mihail Sadoveanu 44, Valea Ursului, Iași, Romania ("CrystalSpec", "we", "us", or "our"). By creating an account, joining a team, or using the service, you agree to these Terms.

1. The Service

CrystalSpec is an AI-assisted project and specification management platform. It helps teams organize product ideas, project structures, flows, roles, resources, data models, and related project documentation. AI features can generate, summarize, or propose changes, but they remain suggestions for human review.

2. Accounts, Teams, and Authority

• You must provide accurate account information and keep your credentials secure.
• You must be at least 16 years old, or the minimum age required in your jurisdiction to use online services, and capable of entering into a binding agreement.
• If you create, administer, or use CrystalSpec on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
• Team owners and administrators are responsible for managing members, permissions, projects, billing choices, and use of the workspace.
• You are responsible for activity under your account and for promptly telling us about suspected unauthorized access.

3. Customer Content

"Customer Content" means content that you or your team submits to CrystalSpec, including prompts, project descriptions, specifications, resources, uploaded files, comments, and AI-reviewed context. As between you and us, you retain ownership of Customer Content. You grant us the rights necessary to host, process, transmit, display, back up, secure, and otherwise operate CrystalSpec and its AI features.

You are responsible for Customer Content and must have the rights and permissions needed to upload or process it through the service.

Subject to our rights in CrystalSpec and third-party rights, as between you and us, you may use AI-generated output produced for your workspace for your internal business purposes and project documentation. We do not claim ownership of your Customer Content or AI output, but we do not represent that AI output is protectable by copyright or free of third-party claims.

4. AI Features and Output

• CrystalSpec may send prompts, project context, and related Customer Content to AI service providers to generate responses or proposed actions.
• AI output can be inaccurate, incomplete, duplicative, or unsuitable for your use case. You must review and validate output before relying on it.
• AI output is not legal, financial, security, medical, or professional advice.
• You are responsible for deciding whether to approve, reject, edit, publish, or otherwise use any AI-generated content or proposed action.

5. Acceptable Use

You must not use CrystalSpec to:

• violate law, infringe intellectual property, privacy, or other rights, or process content you are not permitted to process;
• upload malware, exploit code, unlawful content, or content intended to harm people, systems, or services;
• attempt to access another user's account, workspace, project, or data without authorization;
• interfere with, probe, overload, reverse engineer, scrape, or bypass security or usage limits of the service;
• use automated scraping, bulk extraction, or unauthorized copying of CrystalSpec's software, interface, documentation, outputs, or datasets to build, train, or improve a competing service, except where permitted by law.

6. Subscriptions, Billing, and Taxes

• Paid plans, usage packages, top-ups, renewals, invoices, and payment methods are processed through Stripe or another payment provider we may use.
• Fees, billing intervals, trial terms, quotas, and renewal details are shown in the app or checkout flow. Unless stated otherwise, subscriptions renew automatically until cancelled.
• Cancellations take effect at the end of the current billing period unless the checkout or billing portal states otherwise.
• Usage packages, top-ups, quotas, and AI credits may expire, reset, or be consumed as described in the app or checkout flow.
• If you believe a charge is incorrect, contact us within 30 days of the charge.
• You authorize us and our payment provider to charge applicable fees, taxes, and renewal amounts using the payment method provided.
• Except where required by law or expressly stated in writing, fees are non-refundable.
• You are responsible for taxes, duties, bank charges, and similar amounts associated with your purchase, other than taxes on our income.

7. Third-Party Services

CrystalSpec depends on third-party services such as hosting providers, payment processors, email providers, storage providers, and AI model/API providers. Your use of those integrations may be subject to third-party terms. We are not responsible for third-party services outside our reasonable control.

8. Service Changes, Availability, and Suspension

We may improve, change, limit, suspend, or discontinue parts of CrystalSpec. We try to keep the service reliable, but we do not guarantee uninterrupted or error-free availability. We may suspend access where needed to prevent harm, address security risk, respond to legal requirements, or deal with non-payment or violations of these Terms.

9. Intellectual Property

CrystalSpec, including the software, interface, design, documentation, trademarks, and underlying technology, is owned by us or our licensors. These Terms do not transfer ownership of CrystalSpec to you. You receive a limited, revocable, non-exclusive, non-transferable right to use the service according to these Terms and your selected plan.

10. Confidentiality

Each party may receive non-public information from the other. The receiving party will use reasonable care to protect confidential information and will use it only for purposes related to the service, except where disclosure is required by law.

11. Disclaimers

To the maximum extent permitted by law, CrystalSpec is provided "as is" and "as available." We disclaim implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation. Mandatory consumer rights, if any, are not limited by this section.

12. Limitation of Liability

To the maximum extent permitted by law, we will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, loss of business, loss of goodwill, or loss or corruption of data. Our aggregate liability for claims relating to the service will not exceed the amounts paid by you to us for the service in the twelve months before the event giving rise to the claim, or EUR 100 if you have not paid us.

Nothing in these Terms limits liability where limitation is prohibited by law or limits your obligation to pay fees owed. The liability cap does not limit remedies for unauthorized use of CrystalSpec, infringement of our intellectual property, or breach of confidentiality.

13. Indemnity

If you use CrystalSpec on behalf of a business or organization, you will indemnify and hold us harmless from third-party claims, damages, liabilities, costs, and reasonable legal fees arising from your Customer Content, your unlawful use of the service, your breach of these Terms, or your violation of third-party rights.

14. Termination

You may stop using CrystalSpec at any time and may cancel paid plans through the available billing flow. We may suspend or terminate access if you breach these Terms, create risk for the service or other users, fail to pay fees, or where required by law. Sections that by their nature should survive termination will survive, including payment obligations, intellectual property, confidentiality, disclaimers, limitation of liability, and governing law.

15. Governing Law

These Terms are governed by the laws of Romania, without regard to conflict-of-law rules. Unless mandatory law provides otherwise, disputes will be submitted to the competent courts of Romania.

16. Changes to These Terms

We may update these Terms from time to time. If changes are material, we will take reasonable steps to notify you, such as posting the updated Terms in the service or sending an email. Continued use after the effective date means you accept the updated Terms.
